These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms or our services will be resolved through:

• Binding arbitration in Toronto, Ontario if mediation is unsuccessful
• The courts of Ontario for any matters not subject to arbitration

Neither party shall be liable for any failure or delay in performance resulting from acts beyond their reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or government actions.
